Mint Company SRL · Val des Seigneurs 1, 1150 Woluwe-Saint-Pierre · VAT BE 0744.886.754 · julien@muffinstudio.be · 0472 06 40 47

Version of 20 October 2026. These terms apply to the websites, videos and related services sold under the trade name “Muffin Studio”.

1. Scope

1.1 These terms apply to all offers, orders and services of Mint Company SRL (the “Provider”) to businesses (the “Client”). They do not apply to consumers.

1.2 Signing a quote or paying the deposit means accepting these terms, which take precedence over the Client's general terms.

2. Free demo

2.1 The Provider may prepare, with no commitment or cost for the Client, a demonstration website (the “Demo”) based on public information (Google profile, existing website, social media).

2.2 The Demo is private, not indexed by search engines and deleted no later than 30 days after it was created if the Client does not order. The photos it contains are illustration photos.

2.3 The Client may ask at any time for the Demo and the information about them to be deleted.

3. Quote and order

3.1 Quotes are valid for 30 days. They describe the content of the service, the price and the timing.

3.2 Prices are in euros, excluding VAT. VAT (21%) is added at the applicable rate.

3.3 The order becomes final when the quote is signed (or agreed in writing, including by e-mail) and the deposit is paid, or, online, as set out in article 3.4.

3.4 The Client may order online on muffinstudio.be: they choose a plan, accept these terms and the data processing agreement (appendix), then pay the deposit. The order becomes final when the payment is received. The Provider confirms the order by e-mail. The contract is concluded in French; the applicable terms remain available at muffinstudio.be/conditions and can be saved or printed. The Client declares that they act for the purposes of their business: the right of withdrawal provided for consumers does not apply.

4. Payment

4.1 Unless the quote states otherwise: 50% deposit with the order, 50% when the site goes live. The deposit can be paid online (Bancontact or card, through the payment provider Stripe) or by bank transfer.

4.2 Invoices are payable within 8 days of their date, by bank transfer. Since 1 January 2026, invoices to a VAT-registered Client established in Belgium are issued electronically through the Peppol network, as required by law. Other invoices are sent by e-mail as PDF.

4.3 In case of late payment, late-payment interest is due automatically and without notice at the rate set by the Act of 2 August 2002 on combating late payment in commercial transactions, together with the flat-rate compensation for recovery costs provided by that Act (minimum €40).

4.4 The Provider may suspend the launch, the hosting or changes while an invoice due remains unpaid, after a reminder that has gone unanswered for 8 days.

4.5 If the Client cancels the order before the site goes live, the deposit is kept by the Provider as compensation for the work done, unless the cancellation is due to a failure of the Provider. If the Client does not provide the necessary information (article 5.1) within 60 days of the order, the Provider may end the order on the same terms. If the Provider cannot deliver, it refunds the deposit within 14 days.

5. Timing and cooperation

5.1 The site goes live within 48 working hours of the deposit being paid and the necessary information being received (company name, address, company number, e-mail address for the form, access to the domain name). Timings are indicative; any delay by the Client in providing this information extends the timing accordingly.

5.2 The Client provides accurate information and checks the texts before the site goes live.

6. Content provided by the Client

6.1 The Client guarantees that they hold the rights to the texts, logos, photos and other content they provide, and that this content is accurate and lawful.

6.2 The Client indemnifies the Provider against any third-party claim relating to this content.

7. Changes and acceptance

7.1 One round of changes is included in the price, within the content set out in the quote. Further requests are included in the care plan (small changes) or invoiced on quote.

7.2 The Client has 7 days after the site goes live to report a non-conformity in writing. Failing that, the site is deemed accepted.

7.3 During the care plan, the Provider keeps a backup copy of the site. It may refuse or remove content that is clearly unlawful or infringes the rights of third parties.

8. Ownership and rights

8.1 After full payment, the Client becomes the owner of the content and layout made for them and may use them freely. The Provider keeps its tools, templates and generic components, for which it grants the Client a non-exclusive licence, unlimited in time, for the delivered site.

8.2 Until full payment, the Provider remains the owner of the site and may suspend access to it.

8.3 Stock photos and videos remain subject to their original licence. Videos made by the Provider (video option) are assigned to the Client for use on their own media (website, social media, advertising); the Provider may show them in its portfolio unless the Client refuses in writing.

8.4 The Provider may mention the Client as a reference and place a discreet “Website by Muffin Studio” credit, unless the Client refuses in writing.

9. Domain name

9.1 The Provider registers and manages the domain name for the Client, in the Client's name; its cost is included in the care plan. If the Client already owns a domain name, they give the Provider the access needed.

9.2 The site is hosted by the Provider during the care plan. At the end of the plan, the Provider gives the Client the domain name transfer code and the site files, provided all invoices have been paid.

9.3 Outside the care plan, renewing the domain name is the Client's responsibility.

10. Hosting and care plan

10.1 The care plan (€29 excl. VAT per month) includes: hosting of the site, security updates, small changes (up to 30 minutes per month), renewal of the domain name and a short monthly report.

10.2 It is invoiced monthly, by direct debit (Stripe) or by invoice, and can be ended by either party with one month's notice, after a minimum term of 3 months.

10.3 At the end of the plan, the Provider gives the Client, on request, the site files and the help needed for the transfer, provided all invoices have been paid.

10.4 The Provider may adjust the price of the care plan once a year, informing the Client at least one month in advance. The Client may then end the plan at no cost before the new price takes effect.

11. Lease plan (if set out in the quote)

The specific terms (monthly payment, minimum term, ownership of the site and any buy-out) are set out in the quote.

12. Video option

12.1 Drone filming is carried out in line with aviation rules and privacy. The Provider may postpone a shoot in case of bad weather, a flight ban or for safety reasons, without compensation.

12.2 Where needed, the Client obtains the consent of the people and owners concerned for the places filmed that are under their control.

13. Personal data (GDPR)

13.1 The Provider processes the Client's data (contact, invoicing) to perform the contract and meet its legal obligations.

13.2 When the Provider hosts a Client site that collects data (contact form), it acts as a processor within the meaning of article 28 of the GDPR; the parties then conclude the data processing agreement appended to these terms (sub-processor: Cloudflare, Inc., for hosting and passing on the form messages).

13.3 The Client remains responsible for the data collected through their site and for its privacy policy, which the Provider writes on the basis of the information provided by the Client.

13.4 Online payments are processed by Stripe; the Provider never receives full card details.

14. Liability

14.1 The Provider has an obligation of means. It does not guarantee a ranking or a number of visits on search engines, nor any turnover.

14.2 The Provider's liability is limited to direct and proven damage, and capped at the amount paid by the Client over the last 12 months for the service concerned. Except in case of gross negligence or wilful misconduct.

14.3 The Provider is not liable for interruptions caused by the host, the domain name registry or force majeure.

15. Force majeure

Neither party is liable for a delay or failure to perform caused by an event beyond its control and unforeseeable.

16. Miscellaneous

16.1 If a clause is declared void, the others remain in force.

16.2 Belgian law applies. Any dispute falls under the courts of the judicial district of Brussels (French-speaking enterprise court of Brussels).

16.3 The applicable terms are those in force on the date of the order. E-mails and online confirmation are valid proof between the parties.
